1. Intellectual Property & Code Ownership
Upon full payment of applicable milestone or retainer invoices, the Client retains 100% exclusive ownership of all custom source code, documentation, infrastructure scripts, and specific deliverables generated under this agreement. RG INSYS LLP asserts no proprietary lock-in or ongoing licensing claims over the custom work product.
2. Data Protection & Compliance
RG INSYS LLP agrees to implement industry-standard encryption protocols, specifically AES-256 for data at rest and TLS 1.3 for data in transit. We align our development and deployment pipelines with GDPR and ISO 27001 standards to ensure zero compliance gaps for enterprise environments.
3. Service Level Agreement (SLA) & Uptime
For systems hosted and managed by RG INSYS LLP under an ongoing retainer, we guarantee a 99.9% network and application uptime SLA. Incident response times are guaranteed as follows:
- P1 Critical (System offline or major data breach): 30-minute initial response, 4-hour target resolution.
- P2 High (Core feature impaired): 2-hour initial response, next business day resolution.
- P3 Normal (Minor bug or cosmetic issue): Addressed within the current active sprint cycle.
4. Termination & Handover
Either party may terminate the agreement for convenience with 30 days written notice. Upon termination, RG INSYS LLP will provide a complete handover, including all source code repositories, documentation, and infrastructure credentials, ensuring a seamless transfer to your internal team or another vendor.
