IR35 and why it does not apply to us

Since the April 2021 reform, UK medium and large businesses are responsible for determining whether each off-payroll worker they engage is "inside" or "outside" IR35. Many UK SMEs have become understandably cautious about anything that looks like a contractor relationship. The good news is that engaging RG INSYS is not a contractor relationship at all: it is a B2B service contract between two limited entities, your UK company and our Indian LLP.

Under HMRC's CEST tool and the well-established Supervision, Direction and Control (SDC) test, the IR35 status check looks at three things. Personal service: the engineer who works for you is our employee under an Indian employment contract; we have an unfettered right of substitution and exercise it (we have replaced engineers at client request without breaking continuity). Mutuality of obligation: we deliver against an SoW or a monthly retainer; you do not pay us for downtime and we do not owe you continuous service the way an employer does. Control: we set the engineer's working hours, equipment, line management, training, and code review process; you specify outcomes, not how the work is done. All three legs of the IR35 test point firmly outside scope. Your accountant or solicitor can confirm this against your specific facts; we will sign whatever written confirmation they need.

How the 2-week trial actually works

The 2-week trial exists because the only honest way to know whether an offshore engineer fits your team is to have them in your standups, in your codebase, opening real PRs against your trunk. CV walls and culture interviews do not predict it; live work does.

Day 0 to 3: You book a free 30-minute consultation. We agree the role, stack, seniority, and primary outcome you want from the first sprint. We send a written SoW for the trial covering scope, working hours, communication channels (Slack, Teams or WhatsApp), code repository access, and the success criteria you will use to make the continue / not-continue decision at the end of the two weeks.

Day 4 to 14: The engineer starts on the following Monday. They join your daily standup, get repository access, and pick up real work, typically a small bug or a contained feature in week one, then a meaningful slice of the agreed first sprint outcome in week two. Senior architecture review is in place from day one. You see PRs land in your repo every day.

End of week two: You decide. If you continue, the trial converts into the monthly retainer (£2,800/month) and the trial fee is credited against your first invoice. If you do not continue, you pay nothing and you keep all code, documentation and IP produced during the trial. Every UK engagement starts with a UK MSA governed by the law of England and Wales. Inside it sits an Article 28 GDPR-compliant Data Processing Addendum, the UK International Data Transfer Agreement (IDTA) and the UK Addendum to the EU SCCs for any data flow to India, an unconditional IP assignment in favour of your UK company, a sub-processor disclosure list (AWS, GitHub, Sentry, etc.) with the right to object to new sub-processors before they are added, and a security schedule covering AES-256 at rest, TLS 1.3 in transit, role-based access control, and immutable audit logging. Mutual NDA is signed before any technical discussion.

Where engineering access from India to UK production data is required, it is gated through a UK-resident bastion (eu-west-2 by default) with IAM-scoped, time-bounded credentials and full audit logging. Where any personal data is transferred to India for support, a documented Transfer Impact Assessment covers the Indian government access landscape. Honest disclosure on certifications.
